XRP News: Evernorth Holdings to Sell 73.7 Million XRPN Shares
Evernorth Holdings, an XRP treasury company with Ripple backing, has submitted a registration statement to the US Securities and Exchange Commission (SEC) detailing plans for the potential resale of 73,688,162 Class A common shares and 239,653 sponsor warrants by existing shareholders.
The filing contains information about the company’s share structure, selling securityholders and potential proceeds from exercise of warrants. The development comes as XRP is under pressure in the market and Evernorth continues to build out its XRP-focused treasury strategy.
Evernorth Holdings Files Secondary Offering Of 73.7M Shares Of XRPN
The SEC filing says the registered securities include roughly 73.7 million Class A common shares. Of this amount about 19.1 million shares have already been issued and are held by selling securityholders.
The registration also covers about 31.4 million shares of Class A stock issuable upon conversion of Class C common stock. Also, there are about 22.95 million shares that could be unlocked by the redemption or exchange of company units.
These registrations permit existing shareholders to resell eligible securities, subject to applicable requirements. But the registration doesn’t mean all shares will immediately come into the market.
239,653 Sponsor Warrants @ $11.50 Exercise Price
Evernorth also reported 239,653 sponsor warrants exercisable for Class A common stock at $11.50 a share.
Holders of these warrants include Arrington XRP Capital Fund, Cohen & Company Securities and Northland Securities. Holders are entitled to exercise their rights and the exercise of such rights may result in the issuance of additional XRPN shares.
Among the selling securityholders are SBI Holdings and its subsidiaries, Ripple, Arrington XRP Capital Fund, Chris Larsen, Payward, Gumi and other investors.
Money From Resale By Shareholders Won’t Go To Evernorth
Notably, the registration statement notes that Evernorth Holdings will not receive proceeds from sales by existing selling securityholders.
However, the company may receive cash proceeds from the exercise of sponsor warrants. Evernorth will bear the costs associated with registration while the selling shareholders will continue to be responsible for brokerage commissions, discounts and other selling expenses.
This distinction is important because the secondary share sale is more about providing liquidity to existing investors, rather than raising new money directly for the company’s XRP treasury.
Evernorth Previously Planned to Spend $80.7 Million on XRP
Evernorth had entered into a stock purchase agreement with CF Principal Investments, an affiliate of Cantor Fitzgerald. Under the terms of the deal, the company would issue approximately 5.2 million XRPN Class A common shares to raise $80.7 million to purchase more XRP.

The fundraising plan signals Evernorth’s ongoing commitment to growing its XRP holdings through capital market transactions.# XRPN Stock, XRP Price Under Market Pressure
XRPN shares closed down 3.47% at $14.20 on Friday, as the broader cryptocurrency market weakened, but the stock recovered somewhat in aftermarket trading.
XRP, in contrast, was trading around $1.24, down about 7% on the week. The price dropped from $1.34 to an intraday low of $1.23 and the trading volume was down 37% in 24 hours.
XRP futures open interest also fell almost 2% to around $2.80 billion during the same period.
What Evernorth Share Resale Means for XRP Investors
Evernorth’s filing of approximately 73.7 million shares of XRPN could establish a potential for liquidity that would benefit existing shareholders. But the filing does not mean all the registered securities will be sold right away.
Investors will probably watch actual resale action, potential warrant exercises, XRPN share performance, and Evernorth’s future plans for XRP purchases to gage broader impacts on the company’s treasury strategy.
